These Terms are a contract between you and OMISP (“OMISP”, “we”, “us”, the “Supplier”), the legal entity providing the subscriptions and services offered under the OMISP brand. OMISP operates a founder performance index and capital marketplace. Founders use OMISP to build a verified score, access coaching tools, and connect with investors. Investors use OMISP to discover, evaluate, and engage with founder profiles. OMISP itself is not a broker-dealer, investment adviser, or lender. We do not guarantee funding, investment, investor interest, or any specific outcome.
2. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate, complete, and current information when registering and to keep it updated. You are responsible for maintaining your account credentials and all activity under your account. OMISP may suspend or terminate accounts containing false, misleading, or fraudulent information, at our discretion and without refund.
3. Subscriptions, Payments and Renewals
Some features require a paid subscription. Subscriptions renew automatically, monthly or annually according to the plan selected, until cancelled. You authorise recurring charges at the then-current price until you cancel. You may cancel future renewals at any time; access continues to the end of the current paid period and no pro-rata amount is returned.
Dodo Payments acts as the Merchant of Record and authorised reseller for OMISP subscriptions: it sells the subscription to you on our behalf, handles payment processing, invoicing, and applicable sales tax or VAT. OMISP supplies and operates the service itself. Your purchase is therefore also subject to Dodo Payments’ buyer terms, and transaction availability may depend on your financial institution.
All payments are final and non-refundable, as set out in our Refund & Cancellation Policy. We may change plan prices with notice, effective from your next renewal. If a payment fails, we may suspend paid features until it succeeds. Disputing a legitimate charge with your bank may result in immediate suspension or termination of your account.
4. Acceptable Use
You agree not to misrepresent your identity, role, company, or track record; harass, defraud, spam, or manipulate users; reverse engineer or interfere with the platform; upload illegal content or malware; circumvent score, verification, gating, or payment mechanisms; share or resell account access; or use OMISP to solicit investments in violation of securities laws.
5. Intellectual Property
OMISP owns the platform, brand, software, scoring methodology, and original content. You retain ownership of the information and materials you submit, while granting OMISP a worldwide, non-exclusive licence to host, process, display, and analyse them as needed to operate, secure, and improve the Services according to your settings.
6. Disclaimers and Liability
The Services are provided “as is” and “as available”, without warranties of any kind to the fullest extent permitted by law. Scores, summaries, matches, and AI-generated guidance are informational and do not constitute financial, legal, accounting, employment, or investment advice. To the maximum extent permitted by law, OMISP is not liable for indirect, incidental, special, consequential, or lost-profit damages, and our total aggregate liability for any claim is limited to the amount you paid OMISP in the three months before the event giving rise to the claim.
7. Termination and Governing Law
You may stop using OMISP at any time. We may suspend or terminate access, with or without notice, for breach of these Terms or for security, legal, or operational reasons; amounts already paid are not refunded on termination for breach. These Terms are governed by the laws applicable where OMISP operates, without regard to conflict-of-law principles. We may update these Terms, and continued use after an update means you accept it.
